1. Overview
These Terms of Service ("Agreement") govern the use of services provided by Simple Network Solutions ("Company," "we," "us," or "our").
By purchasing or using our services, you ("Client," "you") agree to be bound by these Terms.
2. Services Provided
We offer subscription-based services including, but not limited to:
- Domain registration and management
- Website design and development
- Web hosting and maintenance
- Professional email services
- SEO setup and optimization
- IT support and consulting
Services may vary depending on the selected plan.
3. Subscription & Billing
- Services are billed on a monthly or annual subscription basis
- Annual plans may be offered at discounted rates
- Payments are non-refundable once processed, unless otherwise stated
- Failure to make payment may result in service suspension or termination
4. Domain Registration, Leasing & Ownership
4.1 Domain as a Leased Asset
If a domain name is included as part of any subscription package provided by Simple Network Solutions, the domain is provided on a leased basis only.
- The domain is not sold or transferred to the Client
- The domain remains the exclusive property of Simple Network Solutions or its designated partners
- The Client is granted a limited, non-transferable right to use the domain only while the subscription is active and in good standing
4.2 Ownership & Control
All domains registered through or included in our services:
- Are owned and controlled by Simple Network Solutions
- May be registered under our accounts, affiliates, or third-party registrars
- Are managed at our sole discretion for operational, security, and service delivery purposes
The Client acknowledges that no ownership rights are granted, regardless of branding, business name use, or length of service.
4.3 Non-Payment or Cancellation
If the Client fails to make payment, cancels the subscription, or violates these Terms:
- The Client's right to use the domain immediately terminates
- Simple Network Solutions reserves the right to retain, reassign, redirect, or deactivate the domain
- The Client has no claim to ownership, transfer, or continued use of the domain
4.4 Optional Domain Transfer (Buyout Option)
At our sole discretion, Simple Network Solutions may offer the Client the option to purchase and transfer ownership of the domain. This is only permitted if:
- All outstanding balances are paid in full
- A written request is submitted
- A domain transfer or buyout fee is agreed upon
We reserve the right to approve or deny any transfer request.
4.5 Third-Party Registrar Disclaimer
Domains may be registered through third-party providers. While we manage these domains:
- We are not responsible for issues caused by registrar policies, outages, or external factors
- Renewal and management are contingent on active service and payment
5. Email Services
Email services may be provided via third-party platforms (e.g., Microsoft 365 or similar). The Client is responsible for proper use of email services and compliance with anti-spam and applicable laws.
5.1 Suspension
We reserve the right to suspend email services if:
- Abuse, spam, or illegal activity is detected
- Payment is overdue
5.2 Data Responsibility
- The Client is responsible for maintaining backups of emails
- We are not liable for data loss caused by third-party platforms
6. Website & Hosting Services
Websites are provided as a managed service, not a one-time product. Hosting, updates, and maintenance are included during active subscription.
6.1 Ownership of Website
The Company retains control of hosting infrastructure. Website files, design, and structure may not be transferred unless:
- All balances are paid
- A transfer or buyout fee (if applicable) is completed
7. Acceptable Use
You agree NOT to use our services for:
- Illegal activities
- Fraudulent or misleading practices
- Distribution of malware or harmful content
- Spam or unsolicited communications
Violation may result in immediate termination without refund.
8. Third-Party Services
Our services may rely on third-party providers including:
- Domain registrars
- Hosting providers
- Email platforms
- Payment processors (e.g., Stripe)
We are not responsible for outages, errors, or limitations caused by these providers.
9. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
- Loss of business, revenue, or data
- Downtime or service interruptions
- SEO ranking results or lead generation performance
All services are provided "as is" without guarantees of specific outcomes.
10. Cancellation & Termination
- Clients may cancel at any time unless under a minimum term agreement
- Upon cancellation, services will remain active until the end of the billing cycle
- No refunds will be issued for unused time
10.1 Company Termination
We may terminate services if:
- Terms are violated
- Payments are not made
11. Intellectual Property
All materials, systems, and processes developed by the Company remain our property. Clients are granted a limited, non-transferable license to use the services during active subscription.
12. Indemnification
You agree to indemnify and hold harmless Simple Network Solutions from any claims, damages, or liabilities arising from:
- Your use of the services
- Your business activities
- Content hosted on your website
13. Modifications
We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
14. Governing Law
This Agreement shall be governed by the laws of the State of Florida.
